Terms & Conditions

Last updated: September 8, 2026

Acceptance of Terms

By accessing the All Out Aerial website, requesting a quote, booking services, or otherwise engaging All Out Aerial, LLC, you acknowledge and agree to these Terms & Conditions. Additional project-specific terms, estimates, invoices, contracts, or licensing agreements may also apply to individual services.

Services

All Out Aerial, LLC provides aerial and ground-based imaging, photography, videography, mapping, photogrammetry, documentation, data collection, and related media services. The exact scope of work, deliverables, pricing, and project requirements may vary by project and will be established through the applicable quote, estimate, invoice, agreement, or other written communication.

Quotes & Pricing

Quotes and estimates are based on the project information available at the time they are provided. Pricing may change if the project scope, location, deliverables, access requirements, travel, processing requirements, or other project conditions change. Any additional work requested outside the original scope may result in additional charges.

Scheduling & Project Access

Scheduling is subject to availability, weather conditions, airspace restrictions, site access, safety considerations, and other circumstances that may affect our ability to perform the requested services. Clients are responsible for ensuring that All Out Aerial, LLC has reasonable and lawful access to the property or project area necessary to complete the agreed services.

Payment

Payment terms will be stated on the applicable quote, invoice, agreement, or other project documentation. Unless otherwise agreed in writing, payment is due according to the terms shown on the invoice. All Out Aerial, LLC reserves the right to withhold final deliverables, usage rights, licenses, or future services until outstanding balances are paid in full.

Cancellations & Rescheduling

Projects may be rescheduled when weather, airspace restrictions, unsafe conditions, equipment issues, site access, or other circumstances prevent the work from being completed safely or as agreed. Client-requested cancellations or rescheduling may be subject to fees when significant travel, preparation, scheduling, or other project costs have already been incurred.

Ownership & Copyright

Unless otherwise agreed in writing, all photographs, videos, aerial imagery, raw footage, edited media, maps, models, and other content created by All Out Aerial, LLC remain the intellectual property of All Out Aerial, LLC. Payment for services does not automatically transfer ownership or copyright of the content to the client.

Licensing & Permitted Use

Clients receive only the usage rights granted through the applicable quote, invoice, contract, or licensing agreement. Content may be used, reproduced, distributed, edited, altered, transferred, sublicensed, or otherwise modified only to the extent permitted by the license provided for that project. Additional or expanded usage rights may require a separate license and additional fees.

Unauthorized Use

Any use of All Out Aerial, LLC content outside the rights granted to the client is prohibited. This includes unauthorized editing, alteration, redistribution, resale, sublicensing, transfer to third parties, or use of content before required payment has been received. All Out Aerial, LLC reserves the right to pursue appropriate remedies for unauthorized use or infringement.

Non-Exclusive & Exclusive Licensing

Unless otherwise specified in writing, licensing terms are determined by the agreement applicable to each project. A non-exclusive license may grant the client specified rights to use, edit, alter, reproduce, and distribute the delivered content while All Out Aerial, LLC retains ownership and the right to use or license the content elsewhere. An exclusive license may provide additional restrictions on All Out Aerial, LLC’s ability to use or license the content, as specifically stated in the applicable licensing agreement. Exclusive licensing does not transfer copyright or ownership unless expressly agreed to in writing.

Raw Files & Unedited Content

Raw photographs, raw video footage, project files, mapping data, or other unedited source materials are not included with every service unless specifically stated in the applicable quote, package, or agreement. When raw or unedited content is provided, the client’s right to use, edit, alter, or distribute that content is governed by the applicable license.

Portfolio & Promotional Use

Unless otherwise restricted by a written agreement, applicable license, or other arrangement with the client, All Out Aerial, LLC may display content created during a project in its portfolio, website, social media, advertising, demonstrations, and other promotional materials. Where additional permission or a release is required, such use will be subject to that permission or release.

Weather, Airspace & Flight Conditions

Aerial services are subject to weather conditions, airspace restrictions, FAA regulations, temporary flight restrictions, property access, safety considerations, and other operational limitations. All Out Aerial, LLC reserves the right to delay, reschedule, modify, or cancel aerial operations when conditions cannot be conducted safely or legally. Safety and regulatory compliance take priority over project schedules.

Mapping, Models & Data Accuracy

Mapping, photogrammetry, 3D models, measurements, orthophotos, and other data products provided by All Out Aerial, LLC are created using available imagery, positioning data, software, and processing methods. Unless specifically stated otherwise in writing, these deliverables are not certified surveys and should not be relied upon as a substitute for work performed by a licensed surveyor, engineer, inspector, or other qualified professional. Accuracy may vary based on site conditions, equipment, positioning methods, processing, and project requirements.

Inspections & Professional Determinations

Images, video, maps, models, and documentation provided by All Out Aerial, LLC are intended to document visible conditions and provide visual or data-based information. Unless specifically agreed otherwise and legally authorized, All Out Aerial, LLC does not provide engineering, surveying, property inspection, insurance adjustment, damage assessment, code compliance, or other licensed professional determinations. Clients are responsible for obtaining appropriate qualified professionals when such evaluations are required.

Client Responsibilities

Clients are responsible for providing accurate project information, necessary access, relevant site details, and any known conditions that may affect the performance of services. The client is also responsible for obtaining any property-owner permissions or other authorizations necessary for All Out Aerial, LLC to access or photograph the requested property, except for permits or authorizations specifically agreed to be obtained by All Out Aerial, LLC.

Delivery & File Availability

Deliverables will be provided using the delivery method established for the project (Google Drive or Nira.app). Clients are responsible for downloading and securely storing delivered files. All Out Aerial, LLC may retain project files for a six (6) month period and does not guarantee permanent storage or future availability of photographs, videos, raw files, mapping data, models, or other project materials after delivery.

Limitation of Liability

To the fullest extent permitted by applicable law, All Out Aerial, LLC will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from the use of its services or deliverables. To the fullest extent permitted by applicable law, All Out Aerial, LLC’s total liability arising from a particular project will not exceed the amount actually paid by the client to All Out Aerial, LLC for that project.

Third Party Platforms & Services

All Out Aerial, LLC may use third-party platforms or service providers for file delivery, payment processing, hosting, mapping, data processing, or other business functions. All Out Aerial, LLC is not responsible for outages, service interruptions, data loss, changes in availability, or other issues caused by third-party platforms outside of its reasonable control.

Force Majeure

All Out Aerial, LLC will not be responsible for delays or failure to perform services caused by circumstances beyond its reasonable control, including severe weather, natural disasters, government actions, temporary flight restrictions, airspace closures, utility or internet outages, equipment failure, emergencies, or other unforeseen events.

Governing Law

These Terms & Conditions and any dispute arising from the services provided by All Out Aerial, LLC will be governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Indemnification

You agree to indemnify and hold harmless All Out Aerial, LLC, its owner, contractors, and representatives from claims, damages, losses, liabilities, or expenses arising from your misuse of delivered content, violation of these Terms & Conditions, violation of applicable law, or failure to obtain required permissions or authorizations for the project.

Severability

If any provision of these Terms & Conditions is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
